This page sets out the terms that govern all use of the DECODE platform and its products. DECODE operates two distinct products — Beauty Pay, a payment link platform for beauty businesses, and Beauty Deals, a marketplace connecting clients with discounted beauty service offers. Depending on how you use the platform, one or more of the following schedules will apply to you in addition to these General Terms:

  • Schedule A — Beauty Pay: Merchant Agreement (beauty businesses using payment links)
  • Schedule B — Beauty Deals: Business Partner Agreement (beauty businesses listing offers)
  • Schedule C — Beauty Deals: Client Purchase Terms (clients purchasing vouchers)

Where a Schedule conflicts with these General Terms, the Schedule prevails in respect of that product.

1. Who we are

DECODE LLC is a company registered in the Meydan Free Zone, Dubai, United Arab Emirates. We operate an online platform accessible at www.welovedecode.com and through related mobile applications.

DECODE is a technology platform provider. It is not a bank, financial institution, beauty service provider, or employment agency. The specific legal role DECODE plays in each product is defined in the relevant Schedule.

2. Definitions

The following definitions apply across all Schedules unless a Schedule states otherwise:

  • "Platform" means the DECODE website, mobile applications, and all related services operated by DECODE LLC.
  • "Beauty Business" means any licensed salon, spa, clinic, beauty studio, or similar beauty or wellness establishment registered on the Platform.
  • "Client" means any individual who purchases a service or voucher through the Platform.
  • "Agreement" means these General Terms together with any applicable Schedule.
  • "UAE" means the United Arab Emirates.
  • "AED" means UAE Dirham, the currency of the United Arab Emirates.
  • "FTA" means the UAE Federal Tax Authority.
  • "VAT" means Value Added Tax as levied under UAE Federal Decree-Law No. 8 of 2017.

3. Eligibility & account registration

To register as a Beauty Business on the Platform, you must:

  • Hold a valid UAE commercial trade licence
  • Be duly authorised to enter into this Agreement on behalf of your business
  • Complete DECODE's Know Your Customer (KYC) verification process, which may include providing Emirates ID of the authorised signatory, beneficial ownership information, and bank account verification documents
  • Keep all business and account details accurate and up to date at all times
  • Notify DECODE of any material changes to your business information within 14 calendar days

DECODE reserves the right to reject or suspend any account that fails to complete verification within 14 days of registration, or fails to provide requested documentation within 14 business days of request.

Clients must be 18 years of age or older to make purchases on the Platform.

4. Intellectual property

All software, trademarks, logos, and content forming part of the Platform are the exclusive property of DECODE LLC or its licensors and are protected under UAE and applicable international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for its intended purpose as described in the applicable Schedule. This licence terminates automatically upon termination of your account or this Agreement.

You may not copy, reproduce, modify, resell, sublicence, or otherwise commercially exploit any part of the Platform without DECODE's prior written consent.

5. Data protection

DECODE processes personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. Full details of how DECODE collects, uses, stores, and protects personal data are set out in the DECODE Privacy Policy.

Transaction data is retained for 7 years to comply with UAE financial regulations. Upon account closure, personal data is deleted or anonymised after 90 days except where retention is required by UAE law.

6. Prohibited use

You may not use the Platform for any of the following:

  • Fraudulent, deceptive, or misleading transactions of any kind
  • Services that are illegal under UAE law or that violate applicable licensing requirements
  • Adult or explicit content, gambling, or cryptocurrency-related services
  • Medical or cosmetic procedures performed by unlicensed practitioners or outside the scope of your business licence
  • Any activity that violates UAE Ministry of Health and Prevention regulations or Dubai Health Authority standards
  • Money laundering, terrorism financing, or any activity in breach of UAE AML/CTF legislation

Breach of this section may result in immediate account suspension and referral to relevant authorities.

7. Force majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, civil unrest, government action, internet or telecommunications failure, payment network outages, or pandemics. The affected party must notify the other as soon as reasonably practicable and use all reasonable efforts to resume performance. This clause does not excuse any payment obligation already due.

8. Amendments

DECODE may modify these Terms or any Schedule at any time. For material changes that affect your rights or increase your obligations, DECODE will provide at least 30 days' written notice by email before the change takes effect. Non-material changes such as clarifications or administrative updates may be made with shorter notice posted on the Platform.

Continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree, you must terminate your account in accordance with the applicable Schedule before the effective date.

9. Dispute resolution

The parties agree to the following escalating process for resolving any dispute arising from or in connection with this Agreement:

Step 1 — Good faith negotiation. Either party may initiate negotiations by providing written notice of the dispute. The parties will attempt to resolve the matter within 30 days of that notice.

Step 2 — Mediation. If negotiations fail, the parties agree to attempt mediation before a mutually agreed mediator in Dubai, UAE, within a further 30 days. Each party bears its own costs; mediator fees are split equally.

Step 3 — Arbitration. If mediation fails, the dispute shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under its then-current Arbitration Rules. The arbitration shall be conducted by a sole arbitrator, in the English language, seated in Dubai, UAE. The arbitrator's decision shall be final and binding on both parties.

10. Governing law

These Terms and all Schedules are governed by and construed in accordance with the laws of the United Arab Emirates. To the extent court proceedings are necessary, the parties submit to the jurisdiction of the courts of Dubai, UAE.

11. General provisions

Entire Agreement. These Terms together with the applicable Schedules constitute the entire agreement between the parties and supersede all prior agreements or understandings, whether written or oral.

Severability. If any provision is found to be invalid or unenforceable, it will be modified to the minimum extent necessary or severed. The remaining provisions remain in full force and effect.

No Waiver. Failure by DECODE to enforce any provision does not constitute a waiver of that provision or any other right.

Assignment. You may not assign your rights or obligations under this Agreement without DECODE's prior written consent. DECODE may assign this Agreement in connection with a merger, acquisition, or sale of assets.

Language. These Terms are prepared in English. In the event of any translation, the English version prevails.

Notices. All legal notices will be sent to your registered email address and are deemed received within 24 hours of sending. You are responsible for keeping your contact details current.
