This page sets out the terms that govern all use of the DECODE platform and its products. DECODE operates two distinct products — Beauty Pay, a payment link platform for beauty businesses, and Beauty Deals, a marketplace connecting clients with discounted beauty service offers. Depending on how you use the platform, one or more of the following schedules will apply to you in addition to these General Terms:
- Schedule A — Beauty Pay: Merchant Agreement (beauty businesses using payment links)
- Schedule B — Beauty Deals: Business Partner Agreement (beauty businesses listing offers)
- Schedule C — Beauty Deals: Client Purchase Terms (clients purchasing vouchers)
Where a Schedule conflicts with these General Terms, the Schedule prevails in respect of that product.
1. Who we are
DECODE LLC is a company registered in the Meydan Free Zone, Dubai, United Arab Emirates. We operate an online platform accessible at www.welovedecode.com and through related mobile applications.
DECODE is a technology platform provider. It is not a bank, financial institution, beauty service provider, or employment agency. The specific legal role DECODE plays in each product is defined in the relevant Schedule.
2. Definitions
The following definitions apply across all Schedules unless a Schedule states otherwise:
- "Platform" means the DECODE website, mobile applications, and all related services operated by DECODE LLC.
- "Beauty Business" means any licensed salon, spa, clinic, beauty studio, or similar beauty or wellness establishment registered on the Platform.
- "Client" means any individual who purchases a service or voucher through the Platform.
- "Agreement" means these General Terms together with any applicable Schedule.
- "UAE" means the United Arab Emirates.
- "AED" means UAE Dirham, the currency of the United Arab Emirates.
- "FTA" means the UAE Federal Tax Authority.
- "VAT" means Value Added Tax as levied under UAE Federal Decree-Law No. 8 of 2017.
3. Eligibility & account registration
To register as a Beauty Business on the Platform, you must:
- Hold a valid UAE commercial trade licence
- Be duly authorised to enter into this Agreement on behalf of your business
- Complete DECODE's Know Your Customer (KYC) verification process, which may include providing Emirates ID of the authorised signatory, beneficial ownership information, and bank account verification documents
- Keep all business and account details accurate and up to date at all times
- Notify DECODE of any material changes to your business information within 14 calendar days
DECODE reserves the right to reject or suspend any account that fails to complete verification within 14 days of registration, or fails to provide requested documentation within 14 business days of request.
Clients must be 18 years of age or older to make purchases on the Platform.
4. Intellectual property
All software, trademarks, logos, and content forming part of the Platform are the exclusive property of DECODE LLC or its licensors and are protected under UAE and applicable international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for its intended purpose as described in the applicable Schedule. This licence terminates automatically upon termination of your account or this Agreement.
You may not copy, reproduce, modify, resell, sublicence, or otherwise commercially exploit any part of the Platform without DECODE's prior written consent.
5. Data protection
DECODE processes personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. Full details of how DECODE collects, uses, stores, and protects personal data are set out in the DECODE Privacy Policy.
Transaction data is retained for 7 years to comply with UAE financial regulations. Upon account closure, personal data is deleted or anonymised after 90 days except where retention is required by UAE law.
6. Prohibited use
You may not use the Platform for any of the following:
- Fraudulent, deceptive, or misleading transactions of any kind
- Services that are illegal under UAE law or that violate applicable licensing requirements
- Adult or explicit content, gambling, or cryptocurrency-related services
- Medical or cosmetic procedures performed by unlicensed practitioners or outside the scope of your business licence
- Any activity that violates UAE Ministry of Health and Prevention regulations or Dubai Health Authority standards
- Money laundering, terrorism financing, or any activity in breach of UAE AML/CTF legislation
Breach of this section may result in immediate account suspension and referral to relevant authorities.
7. Force majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, civil unrest, government action, internet or telecommunications failure, payment network outages, or pandemics. The affected party must notify the other as soon as reasonably practicable and use all reasonable efforts to resume performance. This clause does not excuse any payment obligation already due.
8. Amendments
DECODE may modify these Terms or any Schedule at any time. For material changes that affect your rights or increase your obligations, DECODE will provide at least 30 days' written notice by email before the change takes effect. Non-material changes such as clarifications or administrative updates may be made with shorter notice posted on the Platform.
Continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree, you must terminate your account in accordance with the applicable Schedule before the effective date.
9. Dispute resolution
The parties agree to the following escalating process for resolving any dispute arising from or in connection with this Agreement:
Step 1 — Good faith negotiation. Either party may initiate negotiations by providing written notice of the dispute. The parties will attempt to resolve the matter within 30 days of that notice.
Step 2 — Mediation. If negotiations fail, the parties agree to attempt mediation before a mutually agreed mediator in Dubai, UAE, within a further 30 days. Each party bears its own costs; mediator fees are split equally.
Step 3 — Arbitration. If mediation fails, the dispute shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under its then-current Arbitration Rules. The arbitration shall be conducted by a sole arbitrator, in the English language, seated in Dubai, UAE. The arbitrator's decision shall be final and binding on both parties.
10. Governing law
These Terms and all Schedules are governed by and construed in accordance with the laws of the United Arab Emirates. To the extent court proceedings are necessary, the parties submit to the jurisdiction of the courts of Dubai, UAE.
11. General provisions
Entire Agreement. These Terms together with the applicable Schedules constitute the entire agreement between the parties and supersede all prior agreements or understandings, whether written or oral.
Severability. If any provision is found to be invalid or unenforceable, it will be modified to the minimum extent necessary or severed. The remaining provisions remain in full force and effect.
No Waiver. Failure by DECODE to enforce any provision does not constitute a waiver of that provision or any other right.
Assignment. You may not assign your rights or obligations under this Agreement without DECODE's prior written consent. DECODE may assign this Agreement in connection with a merger, acquisition, or sale of assets.
Language. These Terms are prepared in English. In the event of any translation, the English version prevails.
Notices. All legal notices will be sent to your registered email address and are deemed received within 24 hours of sending. You are responsible for keeping your contact details current.
Schedule A
Beauty Pay — Merchant Agreement
For Beauty Businesses using the DECODE Beauty Pay payment link service. Forms part of the DECODE Terms of Service and is read together with the General Terms.
By creating an account and selecting "I agree", you confirm you are authorised to represent your Beauty Business and accept this Schedule.
1. Platform role & services
DECODE provides Beauty Businesses with the ability to generate and share payment links for their services through the Platform. Clients pay through those links; DECODE collects and remits the funds to the Beauty Business.
For the purposes of Beauty Pay:
- DECODE acts as the merchant of record and processes all payments through licensed, PCI DSS Level 1 compliant payment service providers regulated in the UAE
- DECODE is solely a payment technology intermediary and does not enter into any contract with your clients for the provision of beauty services
- All contracts for services are exclusively between you, the Beauty Business, and your clients
- DECODE has no involvement in and assumes no liability for the nature, quality, safety, legality, or delivery of any services you provide
2. Account registration & verification
In addition to the eligibility requirements in the General Terms, Beauty Businesses using Beauty Pay must:
- Provide Emirates ID of the authorised signatory
- Provide beneficial ownership information
- Submit bank account verification documents confirming account ownership
- Maintain a valid and operational UAE bank account or PayPal account for payout purposes
DECODE and its payment service providers are authorised to collect, hold, and disburse payments on your behalf in accordance with this Schedule.
3. Payments & fee structure
3.1 How it works
When you create a payment link, you specify your desired service amount. DECODE automatically adds the applicable transaction fee on top of that amount. The fee is charged to your client. You receive 100% of your specified service amount in your payout. DECODE retains only the transaction fee. There are no subscription fees, monthly fees, setup fees, or any other fixed charges.
3.2 Fee table

All payments are processed in AED within the UAE.
3.3 Client transparency
You must inform your clients that payment processing is provided by DECODE and that the total amount shown in the payment link includes both your service price and DECODE's transaction fee.
4. Payout schedule
Payouts are typically processed within 1–2 business days of transaction completion, subject to:
- No pending disputes, chargebacks, or fraud investigations
- A valid and operational payout account being on file
In the event of a payout delay exceeding 5 business days, DECODE will provide regular status updates to your registered email address.
You may access detailed transaction reports through your DECODE dashboard at any time.
5. Refunds & chargebacks
5.1 Refunds
Refund requests may be submitted by you through the Platform. All payment processing and refund fees are borne by the Beauty Business. Approved refunds will be processed to the original payment method within 3–10 business days.
5.2 Chargebacks
Chargebacks will be deducted from future payouts. You will be notified within 24 hours of any chargeback being raised and will have 7 days to provide supporting documentation to contest it.
5.3 Suspicious activity
DECODE may delay or suspend payouts if suspected fraud, excessive chargebacks, or other suspicious activity is detected. In such cases DECODE will notify you within 24 hours and provide:
- The specific reason for the delay or suspension
- The actions required to resolve the matter
- An expected review timeline, not to exceed 30 days
You may appeal any suspension by submitting supporting documentation to support@welovedecode.com within 7 days of notification.
6. Taxes & VAT
Each Beauty Business is solely responsible for determining, collecting, and remitting VAT and any other applicable taxes on its sales. DECODE does not calculate, collect, or remit taxes on behalf of Beauty Businesses.
You agree to provide DECODE with any required tax documentation upon request and to maintain accurate tax records for all transactions processed through the Platform.
7. Beauty Business obligations
You are solely responsible for:
- All client service inquiries, complaints, and dispute resolution
- The delivery, quality, and safety of all services
- Handling all refund and cancellation requests from clients
- Providing clear terms of sale and accurate service descriptions in your payment links
- Maintaining all valid UAE licences required to operate your business and deliver your services
- Directing clients to contact you directly for any post-payment queries
8. Account security
You are responsible for all activity that occurs under your account. You must:
- Keep your login credentials secure and confidential
- Not share account access with unauthorised persons
- Report any suspected misuse or unauthorised access to DECODE within 48 hours of discovery
DECODE is not liable for losses caused by unauthorised access to your account except where such access results directly from DECODE's gross negligence or wilful misconduct.
9. Suspension & termination
9.1 DECODE's right to suspend or terminate
DECODE may suspend or terminate your Beauty Pay account if:
- Fraud, excessive chargebacks, or suspicious activity is detected
- Required by payment service provider regulations or UAE law
- You breach these Terms or engage in any prohibited activity
- Your business licence expires, lapses, or is revoked
- You fail to respond to verification or documentation requests within 14 business days
DECODE will provide written notice by email at least 24 hours before suspension or termination, except where immediate action is required to prevent fraud, comply with law, or protect the Platform or other users.
9.2 Your right to terminate
You may terminate this Schedule at any time by providing 30 days' written notice to support@welovedecode.com.
Upon termination:
- You must immediately cease using the Platform and all active payment links
- Pending transactions will be processed and paid out according to the normal schedule
- Any outstanding fees, chargebacks, or liabilities remain your responsibility
- DECODE will retain transaction records for 7 years as required by UAE law
10. Limitation of liability
DECODE's total aggregate liability to you for any claim arising from or related to Beauty Pay shall not exceed the total fees collected by DECODE on your transactions during the three months immediately preceding the claim.
DECODE is not liable for any indirect, incidental, special, consequential, or punitive damages including loss of profit, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages.
This limitation does not apply to fraud or fraudulent misrepresentation by DECODE, or to any liability that cannot be excluded under UAE law.
You agree to indemnify and hold harmless DECODE LLC, its affiliates, officers, and employees from any losses, claims, damages, or expenses arising from your use of the Platform, your services, chargebacks or disputes raised by your clients, or your breach of any applicable UAE law or these Terms.
Schedule B
Beauty Deals — Business Partner Agreement
For Beauty Businesses listing discounted offers on the DECODE Beauty Deals marketplace. Forms part of the DECODE Terms of Service and is read together with the General Terms.
By registering as a Beauty Deals partner, you confirm you are authorised to represent your Beauty Business and accept this Schedule.
1. Platform role & legal relationship
DECODE is not a party to the contract between the Beauty Business and the client. The Beauty Business is solely responsible for the service. DECODE's role is limited to operating the marketplace platform and facilitating the transaction.
This means:
- The Beauty Business remains the legal supplier of services to the client in all circumstances
- DECODE is not the service provider, merchant of record, or contracting party for any beauty service listed on the Platform
- DECODE is not responsible for the quality, safety, delivery, or outcome of any service
- By listing on the Platform, the Beauty Business expressly accepts full professional and legal responsibility for all services delivered to clients
2. Listing eligibility
To list offers on Beauty Deals, the Beauty Business must:
- Hold a valid UAE commercial trade licence covering the services being offered
- Ensure all practitioners delivering listed services hold any required professional qualifications or licences under UAE law (if required)
- Maintain an active WhatsApp number for client appointment coordination
- Keep all listing information accurate, current, and not misleading
DECODE reserves the right to reject, remove, or suspend any listing at its sole discretion, including where a listing is found to be inaccurate, unlicensed, or in breach of these Terms.
3. Commission & pricing
3.1 Commission rate
DECODE charges a fixed commission of 9% on every transaction. This is automatically deducted at the point of purchase and covers the platform fee and all credit card processing costs. No subscription fees, listing fees, or any other charges apply.
3.2 Calculation basis
The 9% commission is calculated on the VAT-exclusive price of the offer only. It is not calculated on the VAT component of the transaction.

4. VAT & invoicing obligations
VAT compliance is the sole responsibility of the Beauty Business. Specifically:
- The Beauty Business must issue a valid UAE Tax Invoice to the client at the time of service for the full VAT-inclusive amount
- The Beauty Business is solely responsible for remitting VAT to the UAE Federal Tax Authority (FTA)
- DECODE does not collect or remit VAT on behalf of Beauty Businesses
- DECODE will issue a separate Tax Invoice to the Beauty Business for the 9% commission charge only
- The DECODE Tax Invoice to the Beauty Business is the only invoicing obligation of the Platform — DECODE does not issue invoices to clients on behalf of Beauty Businesses
Failure to comply with UAE VAT invoicing obligations is a material breach of this Schedule and may result in immediate suspension of the Beauty Business's account.
5. Payout system
5.1 Payout schedule
Payouts are made every Wednesday. The weekly cycle runs Monday to Sunday. The full amount due to the Beauty Business is released on the Wednesday following the week in which QR redemption occurred and the 48-hour complaint window has elapsed with no upheld complaint.
If a voucher is not redeemed within the 3-month validity period, the full amount due is released on the Wednesday following the voucher expiry date.
6. Voucher & QR redemption
6.1 Voucher validity
All vouchers are valid for 3 months from the purchase date, in compliance with applicable UAE consumer protection regulations. After 3 months the voucher expires and all financial obligations close automatically.
6.2 QR redemption
Every purchase generates a unique QR code issued to the client. Redemption is officially confirmed when the Beauty Business scans the client's QR code in the Platform app. This scan is the sole trigger for:
- Confirming that the service was delivered
- Starting the 48-hour client complaint window
- Triggering the payout release subject to no upheld complaint
6.3 Unredeemed vouchers
If a voucher is not redeemed within the 3-month validity period, the full amount due to the Beauty Business is automatically released the following Wednesday after expiry. No refund or complaint is possible after expiry.
6.4 Technical failure
If a QR scan fails due to a verified technical issue, the Beauty Business must contact Platform support within 48 hours with proof of service delivery. DECODE will review and, if satisfied, manually trigger the redemption.
7. Complaints, clawback & offset rights
7.1 Client complaint window
Clients have 48 hours from the moment of QR scan to submit a written complaint. DECODE reviews all complaints on a case-by-case basis and determines the outcome at its sole discretion.
7.2 Platform authority
DECODE reserves the right to:
- Determine refund eligibility based on available evidence
- Claw back or offset any refunded or disputed amount against the Beauty Business's pending or future payouts, with no time limit and no minimum balance required, until the full amount is recovered
- Withhold or recover any disputed amount from pending or future payouts in the event of a client payment dispute or chargeback
- Withhold any scheduled payout pending resolution of any open dispute or complaint
- Act on legal basis to recover the pending amounts
7.3 No refund limit exceeded
No refund issued to a client shall exceed the total amount paid by that client for the relevant transaction.
8. Beauty Business obligations
The Beauty Business agrees at all times to:
- Deliver services to the standard reasonably expected by a client purchasing a discounted offer
- Respond to Platform support requests within 48 hours
- Maintain an active and monitored WhatsApp number for client appointment coordination
- Not engage in any conduct designed to manipulate the Platform, including artificially inflating transaction counts
- Not instruct or encourage clients to redeem vouchers for services not yet delivered
- Honour all vouchers sold through the Platform and deliver the relevant service to the client within the validity period. Failure or refusal to honour a valid voucher without reasonable justification is a material breach of this Schedule and may result in immediate account suspension and a full refund being issued to the client, recovered from the Beauty Business
9. Suspension & termination
9.1 DECODE's right to suspend or terminate
DECODE may suspend or terminate a Beauty Business's account on Beauty Deals if:
- Fraudulent activity or manipulation of the Platform is detected
- An excessive number of complaints are upheld against the Beauty Business
- The Beauty Business's trade licence expires, lapses, or is revoked
- The Beauty Business breaches any provision of this Schedule or the General Terms
- Required by UAE law or payment service provider regulations
DECODE will provide written notice by email before suspension or termination, except where immediate action is required to prevent fraud, protect clients, or comply with law.
9.2 In-flight funds on suspension or termination
In the event of account suspension or termination, all funds not yet released will be held by DECODE until the investigation is resolved. Upon resolution:
- If no wrongdoing is found, held funds will be released to the Beauty Business on the next available Wednesday payout cycle
- If wrongdoing is found, DECODE reserves the right to apply held funds against any amounts owed by the Beauty Business to DECODE or to clients
9.3 Your right to terminate
You may terminate this Schedule at any time by providing 30 days' written notice. Pending transactions and payouts will be processed according to the normal schedule. Any outstanding liabilities, clawback obligations, or upheld complaints remain your responsibility after termination.
10. Limitation of liability
The Platform's total liability to any party shall not exceed the commission amount received by DECODE in respect of the specific transaction in dispute.
DECODE is not liable for any indirect, consequential, special, or incidental damages of any kind, including loss of revenue, loss of profit, or loss of business opportunity arising from the Beauty Business's use of Beauty Deals.
DECODE is not liable for any failure or delay caused by third-party services including payment processors, WhatsApp, or mobile network providers.
You agree to indemnify and hold harmless DECODE LLC, its affiliates, officers, and employees from any losses, claims, damages, or expenses arising from your use of the Platform, services delivered to clients, complaints or chargebacks raised by clients, or your breach of any applicable UAE law or these Terms.
Schedule C
Beauty Deals — Client Purchase Terms
For clients purchasing vouchers through the DECODE Beauty Deals marketplace. Forms part of the DECODE Terms of Service and is read together with the General Terms.
By completing a purchase on Beauty Deals, you confirm you have read and accept these terms.
1. What the Platform is
DECODE operates Beauty Deals as a marketplace that connects clients with discounted beauty service offers from independent beauty businesses. When you purchase a voucher through Beauty Deals:
- Your contract for the service is exclusively between you and the Beauty Business
- DECODE is not the service provider and is not a party to that contract
- DECODE acts solely as a disclosed commercial agent facilitating the transaction
- DECODE is not responsible for the quality, safety, delivery, or outcome of any service you receive
- All professional liability for services rests solely with the Beauty Business delivering them
2. How purchases & vouchers work
2.1 Purchasing
All purchases are made in AED through the Platform. Upon successful payment you will receive a unique QR code voucher. This voucher is your proof of purchase and your entitlement to redeem the service with the relevant Beauty Business.
2.2 Booking your appointment
After purchase you will be directed to the Beauty Business's WhatsApp to coordinate your appointment. You may also contact the Beauty Business through any other channel you prefer. DECODE does not operate a booking system and is not responsible for appointment scheduling.
2.3 Redeeming your voucher
Present your QR code to the Beauty Business at the time of your visit. The Beauty Business will scan your QR code in the Platform app after your service is completed. This scan officially confirms redemption and starts the 24-hour complaint window.
2.4 Voucher validity
All vouchers are valid for 3 months from the date of purchase, in compliance with applicable UAE consumer protection regulations. After 3 months the voucher expires automatically and no refund or complaint is possible.
3. Refund policy

Refund limit. No refund shall exceed the total amount paid by you for the relevant transaction.
4. Complaints process
If you are dissatisfied with a service you received, you must:
- Submit a written complaint through the Platform app within 24 hours of QR redemption
- Include a clear description of the issue and any supporting evidence such as photographs
- DECODE will review your complaint on a case-by-case basis and contact you with its decision
DECODE reserves sole discretion to determine the outcome of all complaints based on available evidence. Possible outcomes include a full refund, partial refund, or no refund. DECODE's decision is final.
Please note that DECODE is not the service provider. Where a complaint relates to professional conduct, injury, or harm caused by a Beauty Business, you may also have the right to seek recourse directly through UAE consumer protection authorities.
5. Limitation of liability
DECODE's total liability to you in respect of any transaction shall not exceed the total amount you paid for that transaction.
DECODE is not liable for any indirect, consequential, or incidental loss arising from your use of the Platform or from services provided by a Beauty Business, including but not limited to physical injury, dissatisfaction, loss of time, or loss of opportunity.
DECODE is not liable for any failure or delay caused by third-party services including payment processors, WhatsApp, or mobile network providers.
